ClientPress Affiliate Program — Terms and Conditions

These Affiliate Program Terms and Conditions (“Agreement”) govern your participation in the ClientPress Affiliate Program (“Program”), operated by ClientPress (“Company,” “we,” “us,” or “our”). By applying to or participating in the Program, you (“Affiliate,” “you,” or “your”) agree to be bound by this Agreement in full.
1. Program Overview
The ClientPress Affiliate Program allows approved Affiliates to earn commissions by referring new customers to ClientPress (“Software”), a WordPress plugin available at clientpress.io. Affiliates receive a unique referral link and earn commissions on qualifying purchases made through that link, subject to the terms below.
2. Eligibility and Application
2.1 Eligibility Requirements
To be eligible for the Program, you must:
- Be at least 18 years of age
- Have a valid, active PayPal account capable of receiving payments
- Operate a website, newsletter, social media presence, or other platform through which you promote products or services
- Agree to and comply with all terms of this Agreement
- Not be an employee, contractor, or immediate family member of an employee or contractor of ClientPress
2.2 Application and Approval
Participation in the Program is by application only. Submission of an application does not guarantee acceptance. We reserve the right to approve or deny any application at our sole discretion, without obligation to provide a reason for denial.
2.3 Account Requirement
A valid PayPal account is required to participate in the Program and receive commission payments. We do not offer alternative payment methods. You are responsible for maintaining a valid PayPal account throughout your participation. Failure to maintain a valid PayPal account may result in payment delays or forfeiture of accrued commissions.
3. Affiliate Links and Tracking
3.1 Referral Links
Upon approval, you will receive a unique affiliate referral link (“Affiliate Link”) through the affiliate dashboard. All referrals must be made through your Affiliate Link for commissions to be tracked and credited.
3.2 Cookie Duration
Referral tracking cookies remain active for 60 days from the date a prospective customer first clicks your Affiliate Link. If a purchase is completed within that 60-day window, the sale will be attributed to you.
3.3 Last Click Attribution
In the event a customer clicks multiple affiliate links before purchasing, attribution will be assigned to the most recent Affiliate Link clicked.
3.4 Tracking Limitations
We are not responsible for failed tracking resulting from a customer’s use of ad blockers, browser privacy settings, cookie deletion, or other technical conditions outside of our control. Commissions will only be paid on sales we are able to verify through our tracking system.
4. Commission Structure
4.1 Commission Rate
Approved Affiliates earn a commission of 25% of the net sale amount on each qualifying purchase made through their Affiliate Link.
4.2 Eligible Products and Pricing
Commissions are earned on the following ClientPress plans:
- Professional — $249/yr — $62.25 commission per cycle
- Freelancer — $498/yr — $124.50 commission per cycle
- Agency — $996/yr — $249.00 commission per cycle
Pricing is subject to change. Commission is calculated based on the actual amount paid by the customer at the time of purchase, net of any applicable discounts or promotional pricing.
4.3 Renewal Commissions and Cycle Cap
Affiliates earn commissions on the initial purchase and up to two (2) subsequent annual renewals made by each referred customer — for a maximum of three (3) commission payments per referred customer.
After the third commission payment for a given customer has been paid, no further commissions will be earned on that customer’s account, regardless of how many additional renewals occur.
4.4 No Lifetime Commissions
This Program does not offer lifetime commissions. Commission eligibility ends after the maximum three (3) payment cycles per referred customer, as described in Section 4.3.
4.5 Commission Basis
Commissions are earned on new customer purchases only. Commissions are not earned on:
- Purchases made by existing ClientPress customers
- Plan upgrades or downgrades made by previously referred customers after the third cycle
- Purchases made by the Affiliate themselves
- Purchases made by individuals who are employees, contractors, or agents of the Affiliate
5. Payment Terms
5.1 Payout Schedule
Commissions that have cleared the validation period (see Section 5.2) will be paid on the 25th of each calendar month. If the 25th falls on a weekend or bank holiday, payment will be processed on the next business day.
5.2 Validation and Hold Period
Commissions enter a 30-day validation period following the date of the qualifying purchase to account for refund windows and fraud screening. Commissions become eligible for payout only after the validation period has closed without a refund or reversal being issued.
5.3 Minimum Payout Threshold
A minimum account balance of $50.00 USD is required before a payout will be issued. Balances below this threshold will carry over to the following month’s payout cycle. Balances will continue to accumulate until the threshold is met.
5.4 Payment Method
All payments are made via PayPal in USD. You are responsible for any fees charged by PayPal to receive funds. We are not responsible for delays caused by PayPal’s processing times or policies.
5.5 Forfeiture of Commissions Upon Termination
If your affiliate account is terminated for cause (see Section 9), any unpaid commissions may be forfeited at our sole discretion. Commissions will be paid for validated sales completed prior to the termination date in cases of account closure without cause.
6. Refunds and Chargebacks
6.1 Refund Clawback
If a referred customer receives a full or partial refund within ClientPress’s refund window, the corresponding commission will be reversed from your account. If the reversal results in a negative balance, the deficit will be deducted from future commissions.
6.2 Chargebacks and Fraud
Any commission associated with a transaction that results in a chargeback, fraudulent payment, or violation of our Terms of Service will be reversed and may result in immediate termination of your affiliate account.
7. Promotional Guidelines
7.1 Accurate Representation
You must accurately represent ClientPress and its features in all promotional content. You may not make false, misleading, or exaggerated claims about the Software’s capabilities, pricing, or benefits.
7.2 Prohibited Promotion Methods
The following promotional methods are strictly prohibited:
- Paid search bidding on branded terms: You may not bid on “ClientPress,” “clientpress.io,” or confusingly similar terms in Google Ads, Microsoft Ads, or any other pay-per-click advertising platform.
- Spam: You may not promote your Affiliate Link through unsolicited email, SMS, or messaging campaigns.
- Cookie stuffing or forced clicks: Any method designed to artificially generate referral credit without a genuine user click is prohibited.
- Trademark infringement: You may not register domain names, social media handles, or other online identities that incorporate the ClientPress name or brand.
- Self-referral: You may not use your own Affiliate Link to purchase ClientPress for yourself or for clients on their behalf in a manner intended to generate commission.
- Incentivized clicks: You may not offer cash, prizes, or other incentives to users in exchange for clicking your Affiliate Link.
- Misleading discount claims: You may not advertise coupon codes or discounts that do not exist or are not currently active.
7.3 Disclosure Requirements
You must clearly disclose your participation in the ClientPress Affiliate Program in any promotional content, in compliance with the U.S. Federal Trade Commission (FTC) guidelines and any applicable laws in your jurisdiction. Disclosure must be clear, conspicuous, and placed near the affiliate link or recommendation.
7.4 Brand Asset Use
Use of the ClientPress name, logo, and brand assets in promotional materials is permitted solely for the purpose of promoting ClientPress through the Program. You may not alter, distort, or misrepresent our brand assets. Brand guidelines and approved assets will be provided in your affiliate dashboard.
8. Intellectual Property
Nothing in this Agreement transfers any ownership or license rights in ClientPress, our trademarks, trade names, copyrights, or other intellectual property to you. Your use of our brand assets is limited to the scope of approved affiliate promotion as described in Section 7.4.
9. Term and Termination
9.1 Term
This Agreement begins on the date your affiliate application is approved and continues until terminated by either party.
9.2 Termination by Affiliate
You may terminate your participation in the Program at any time by closing your affiliate account through the dashboard or by providing written notice to affiliate@clientpress.io. Validated commissions earned prior to termination will be paid on the next scheduled payout date, provided the minimum threshold is met.
9.3 Termination by Company
We may suspend or terminate your affiliate account at any time, with or without cause, with or without notice. Grounds for immediate termination include but are not limited to:
- Violation of any provision of this Agreement
- Fraudulent activity or misrepresentation
- Self-referral abuse
- Prohibited promotion methods
- Actions that damage the reputation or intellectual property of ClientPress
9.4 Effect of Termination
Upon termination, your Affiliate Link will be deactivated and you will no longer earn commissions. Pending commissions may be forfeited in cases of termination for cause.
10. Modifications to the Program
We reserve the right to modify the terms of this Agreement, commission rates, payout schedules, eligible products, or any other aspect of the Program at any time. We will provide notice of material changes via email or through your affiliate dashboard. Continued participation in the Program following notice of changes constitutes your acceptance of the updated terms. If you do not agree with a modification, your sole remedy is to terminate your participation as described in Section 9.2.
11. Relationship of the Parties
You are an independent contractor. Nothing in this Agreement creates an employment, partnership, joint venture, agency, franchise, or sales representative relationship between you and ClientPress. You have no authority to bind the Company to any obligation. You are solely responsible for all taxes, withholdings, and other obligations arising from commissions you receive.
12. Tax Responsibilities
You are solely responsible for reporting and paying all applicable taxes on commissions earned through the Program. We may request a completed IRS Form W-9 (for U.S. persons) or W-8BEN (for non-U.S. persons) before issuing payment. We will issue a Form 1099-NEC to U.S.-based Affiliates who earn $600 or more in a calendar year, as required by law.
13. Disclaimer of Warranties
THE PROGRAM IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE PROGRAM, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE ANY MINIMUM LEVEL OF EARNINGS OR THAT THE PROGRAM WILL OPERATE WITHOUT INTERRUPTION OR ERROR.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CLIENTPRESS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR PARTICIPATION IN THE PROGRAM, INCLUDING LOSS OF PROFITS OR REVENUE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL COMMISSIONS PAID TO YOU IN THE NINETY (90) DAYS PRECEDING THE CLAIM.
15. Indemnification
You agree to indemnify, defend, and hold harmless ClientPress, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your participation in the Program; (b) your violation of this Agreement; © your promotional activities; or (d) your violation of any applicable law or third-party rights.
16. Governing Law and Dispute Resolution
This Agreement is governed by the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising out of or relating to this Agreement shall be resolved by binding arbitration in San Diego County, California, in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent unauthorized use of intellectual property or confidential information.
17. Entire Agreement
This Agreement constitutes the entire agreement between you and ClientPress with respect to the ClientPress Affiliate Program and supersedes all prior or contemporaneous agreements, representations, or understandings relating to the same subject matter.
